Wipfli Cautions Wisconsin Businesses to Avoid Scam Involving an Annual Minutes Form

A company named “Corporate Records Service” has been sending official looking notices to Wisconsin business owners asking them to complete an Annual Minutes Form and to remit $125 to a Madison address. Click here
for a sample of the Corporate Records Service notice. The official looking notice implies that Wisconsin businesses need to file this form with the state. However, businesses are not required by the Department of Financial Institutions (DFI) or by any other state agency to complete the form.
The DFI issued a press release
on January 30, 2013, cautioning Wisconsin business owners that the form requested by Corporate Records Service is not an official State of Wisconsin form and that the report and the $125 fee are not required by Wisconsin law.
Corporations and limited liability companies (LLCs) formed in Wisconsin do receive a postcard from the DFI reminding them to file an annual report and to pay an annual fee of $25.00. This is a legitimate reminder from the DFI.
