Wipfli is often called upon to analyze and/or restructure an organization's governance and/or management structures.  As a result, this often involves an assessment of the organization's problem-solving and policy development processes as elements of the formal and informal governance structure.  Wipfli’s approach to these engagements is to first evaluate the extent of the organization's ability to execute decisions.

Typically, this requires a review of the following:

  • Mission, vision, and values
  • Current strategic plan and business and marketing strategies
  • Capitalization and financial plan
  • Articles and bylaws review , including reserved powers for shareholders and boards
  • Committee structure, authority, and options
  • Governance and management structure and performance
  • Succession strategies and plans
  • Role of physicians in leadership and the role of clinic executives 
  • Problem-solving versus policy development committees
  • Operating structure and accountabilities.

While we typically work with our client's legal counsel to restructure articles of incorporation and bylaws, the goal remains consistent and clear: to more clearly define the appropriate rules for board members, corporate officers, and administration to apply in the leadership, decision making, and management of the organization.
